Paper Rascals Wholesale Terms & Conditions
Effective date: 20 October 2026
These Wholesale Terms & Conditions apply to wholesale orders supplied by Holo Malana (NZBN 9429053956378), trading as Paper Rascals (“Paper Rascals”, “we”, “us” or “our”).
Email: hq@paperrascals.com
Privacy Policy: www.paperrascals.com/privacyBy submitting or confirming a wholesale order, the customer (“Retailer”, “you” or “your”) agrees to these terms and places a binding order.
Our wholesale products are supplied to businesses purchasing in trade for resale.
By placing an order, you confirm that:
• you are acquiring the products in trade;
• you have authority to bind the business named on the order;
• your account and delivery information is accurate; and
• you will resell the products lawfully without misrepresenting the Paper Rascals brand.
We may request reasonable evidence that you operate a genuine retail business. We may approve or decline a wholesale account before an order is placed.
2. Orders and when they become binding
Product catalogues, pitch decks, line sheets, website listings and other promotional materials are provided for information and do not by themselves constitute an offer to supply.
A completed wholesale order form showing the selected products, quantities and prices constitutes an offer by Paper Rascals to supply those products on these terms.
By submitting the order form, you accept that offer and place a binding order. The contract is formed when the submitted order is received by us. After receiving your order, we will allocate it to the applicable print run and issue an invoice. Issuing or paying the invoice is not required for the order to be binding.
For an order arranged by email, the order becomes binding when you provide written confirmation that you accept the final order summary and these terms.
You are responsible for checking the products, quantities, prices and delivery information before submitting or confirming the order.
Once submitted, an order may be changed or cancelled only in accordance with section 5 or with our written agreement. If an obvious pricing, calculation, description or technical error affected the order, we will contact you promptly.
3. Products and print variations
We make reasonable efforts to describe and display our products accurately. However, colours shown on screens or in printed sales materials may differ from physical products.
Reasonable variations may occur between samples, photographs, prototypes and finished products, or between separate print runs. These may include minor differences in colour, texture, finish, trimming, dimensions, print placement and packaging.
A minor variation that does not materially affect a product’s appearance, function or saleability is not a defect. If we need to make a material change to an ordered product before dispatch, we will tell you and allow you to approve the change or cancel the affected product.
All prices are in New Zealand dollars unless stated otherwise. Holo Malana is not registered for GST.
Freight, duties and other delivery charges are additional unless expressly included in the order form or invoice.
Unless otherwise agreed in writing, full payment is required before dispatch. Where we approve credit terms, payment must be received by the due date shown on the invoice. If an undisputed amount is overdue, we may pause production, suspend credit terms, charge simple interest at 1.5% per month, and recover debt-collection costs.
5. Preorders, print runs and supply
An order reserves products from a future or limited print run. Production, dispatch and delivery dates are estimates unless we expressly guarantee a date in writing.
Once submitted, an order cannot be cancelled for change of mind without our written agreement. A binding order remains subject to our ability to produce and supply the ordered products. If a product cannot be produced because of a printing failure, material shortage or other circumstance outside our reasonable control, we may delay, substitute, reduce or cancel the affected part of the order with a refund.
6. Suspension or cancellation by Paper Rascals
We may suspend or cancel the unfulfilled part of an order if payment is overdue, you materially breach these terms, we reasonably believe the order is fraudulent, supplying the order would be unlawful, or you become insolvent. If we cancel because of your breach, you remain responsible for amounts already due and our reasonable loss resulting from that breach.
We will deliver to the address shown in the order. Dispatch and delivery dates are estimates unless expressly guaranteed in writing.
You may be offered "Signature required" or "Authority to leave". If signature-required is selected, a signature provided by an authorised person is proof of delivery. If you select "Authority to leave", you accept the risk of loss after delivery. If delivery fails because of incomplete address information, we may charge for redelivery or return costs. We may split an order into multiple shipments.
Risk of loss or damage passes to you when delivery is completed. Ownership passes only when we receive full payment for the products. Until ownership passes, you must keep products identifiable and not grant a security interest over them, though you may resell them in the ordinary course of business.
We may inspect, count and photograph products and packaging before dispatch. Our records and photographs may be used as evidence of the products’ identity, quantity and condition. This does not prevent you from reporting genuine transit damage, shortages or faults.
10. Inspecting deliveries and making a claim
Please inspect your delivery promptly. Visible issues must be reported within five business days. Send claims to hq@paperrascals.com including business name, order/invoice number, problem description, quantities, clear photos of products, and photos of packaging/label. Retain products while we assess the claim.
Because products are printed in limited quantities, we do not accept returns for change of mind, over-ordering, or sales performance. Products must not be returned without our written authorisation. Authorising a return for inspection does not mean we have accepted the claim.
12. Faulty, damaged, missing or incorrect products
We will assess claims reasonably and may resolve them by supplying missing products, replacing/repairing, issuing credit, or refunding. We will pay reasonable return-delivery costs for confirmed faulty, damaged or incorrectly supplied products. If inspection shows products conform to the order, you are responsible for return/redelivery costs. A problem with some products does not entitle you to reject unaffected products unless inseparable.
13. Consumer Guarantees Act
You acknowledge that the products are supplied and acquired in trade for resale or business purposes. To the extent permitted by section 43 of the Consumer Guarantees Act 1993, you and Paper Rascals agree that the Consumer Guarantees Act does not apply to the supply. The parties agree that contracting out is fair and reasonable because both parties are in trade, these terms are provided in writing before the order is submitted, and these terms retain a reasonable process and remedies for genuine supply problems.
Nothing in these terms excludes liability that cannot legally be excluded. Neither party is liable for indirect or consequential loss not reasonably foreseeable. Our total liability will not exceed the amount paid for the products giving rise to the claim. You are responsible for determining whether products are suitable for your retail environment.
15. Retailer responsibilities
You must store and handle products with care, not alter them in a misleading/unsafe manner, comply with applicable laws, and notify us of safety concerns. Damage caused by improper storage is your responsibility. You are responsible for your relationship with your retail customers. A wholesale account does not make you our agent or partner; any exclusivity must be agreed separately.
16. Intellectual property
All intellectual property in Paper Rascals products and materials remains ours. Purchasing products does not transfer rights. Approved stockists may use our brand materials solely to promote genuine products. You must not reproduce our artwork, create derivative products, or suggest non-existent endorsements.
17. Confidentiality and privacy
Non-public wholesale prices and confidential info must not be disclosed. We handle personal data according to our Privacy Policy at
www.paperrascals.com/privacy.
18. Events outside reasonable control
Neither party is responsible for delays caused by events outside their control. The affected party must take reasonable steps to resume performance. If an event prevents supply for >30 days, either party may cancel the affected portion, and we will refund paid amounts for unsupplied products.
Send concerns to hq@paperrascals.com. We will try to resolve disputes in good faith. If direct discussion fails, either party may propose mediation. This does not prevent seeking urgent relief or using the Disputes Tribunal where applicable.
20. Changes to these terms
We may update these terms for future orders. The version applying to an order is the one accepted when the order is submitted. Later updates won't change a binding order unless agreed or required by law.
These terms and the submitted order form the agreement. A failure to enforce a right is not a waiver. You may not transfer an order without our agreement. If a term is invalid, the rest continue. Electronic submissions are valid evidence.
These terms and all orders are governed by New Zealand law. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.
By submitting or confirming a wholesale order, you confirm that:
• you are purchasing in trade for resale or business purposes;
• you have checked the selected products, quantities and prices;
• you have read and accepted these Wholesale Terms & Conditions;
• you understand that the order becomes binding when it is submitted and received by Paper Rascals;
• you agree, where legally permitted and fair and reasonable, that the Consumer Guarantees Act 1993 does not apply; and
• the person placing the order is authorised to bind the Retailer.
